What it takes to build a company in Vero/Sebastian
Okay, every think about opening a new business in Indian River county? Well this blog will show you what it took for the creators of Dine-One-One Restaurant Delivery, Inc. A newly fromed company in Indian river county. The tedious tasks the state and county require. The arguments over decisions and fights over who is doing what.Who is working and who isn't doing much to help. Who is in control who wants control. Who has earned it. Accomplishments, and things still hanging in teh balance waiting to be acted on. Its a tough job putting together a business. Take two guys with an idea to create what the county really needs and lacks. A restaurant delivery service like no other in the county. In fact, it is the only true delivery service around. The odds are so stacked against us when it comes to financing this and everyone seems to love the idea but keeps a lock on the pocketbook when it comes to investing in the business. So we have to scrape and barrow sell our personal items to cover the costs of incorporating, and then the costs of local licenses, advertising, even printing business cards. The idea to have people call in and select items from every restaurant in the county to create a meal for one, or for the entire family or office and have it delivered in about an hour by one driver with one bill. It is an awsome idea. It is slowly coming into reality. When I say slow, I mean slow. We Incorporated on June 8'th 2006. We intend you file for Sub S status just as soon as the other partner gets around to being at the office. He has the only copy of the form and since the printer got hit with a major surge of electricity the other day, its no longer working. Before anyone says anything, yes it was on a surge protector. It must have been a lot of electricity to blow it because it took out the computer's powered speaker system and a lamp. So now I can look at documents, make changes but then to print them up, I have to save them to a CD and run them to staples to have them printed. Cheapest I can find is 79 bucks but hey, if I had 79 bucks to spend on a printer, where would I find the money for the ink carterages. The ones in the burnt up printer were brand new.
Okay so back to Incorporating, We used a service to file for us and we also took a 13 month option to retain that office as General counsel for the business. Total cost. 206. and some change. We opted not to have them file the sub-chapter S status because we could look up how to do that and do it ourselves for the cost of a stamp, or even faster via a Fax machine as to the instructions on the form. In case you want to know that form number it is f2553. I called the IRS and over the phone applied for a company EIN number. It was issued immediately over the phone and about 2 weeks later the IRS sent out a document showing the assigned number as well as the forms to file and send in money to them every quarter. They also sent a schedule of when to file other documents that are manditory to file with the Feds. How nice of them. Of course its about them making money off the money we make so of course they want us to know exactly when they expect to see it. Now, its funny that Florida has dates it wants things filed and sent to them too. I am only pleased that the Lawyers that incorporated us will file that for us. For a fee of course. Its know as the " annual Report" simple piece of paper a check for a few hundred dollars and you are done. We have not had to file one yet. Now if you decide that Mary would make a better president in the business than you, you have to file yet another form. Then she will get all the mail that seems to come in to the company. You just have to hope she shows up to work to open it. Chris is the company president in Dine-One-One, I am CEO. since Chris israrely here, I take care of all the paperwork. Now his other job titles are Director, and Secretary. Up till now, he has only been a name on the corporate documents. I am Mike and my positions in this company are CEO, Tres, Director, And Chairman. Not that we have had any meetings of the man board of directors. I seem to have taken on all of Christopher's duties because he does not seem to want to take the time to dedicate himself to the business he says he loves and wants to make successful. Makes you wonder at time. I seem to have another job too, its financer. I have put all my money into this and am still waiting for him to contribute even a dime. Its messed up when someone takes a job to earn money to live on and contribute to the costs of start-up but you never see a dime from payday on. But, on payday, my partner is out at dinner, then the bar.. and by saturday is pretty much broke as a joke and then tells me when he is broke how next week he wants to pay for this cost or that cost to the company. So if the stocks issued are basically the value of the money we have invested into the company, his stocks are worth zero or at worst technically worth 1/2 cent a piece. Well for better or worse I am in up to my neck and have to find a way to make this work.
